Incorporated on 30th May 2002, SmartCity Resorts Plc is an investment and infrastructure company dedicated to creating modern real estate and infrastructure projects that allows people to live, work and relax in more pleasant and productive ways. The SmartCity Innovation Hub is a major public/private sector collaboration to deliver to Nigerians an information technology park that would drive innovation and technological smarts in the acclaimed city of excellence. Sector regulator and enabler, the National Information Technology Development Agency (NITDA) is collaborating with private sector players and teams to develop the technology park in furtherance of a shared vision to grow the contribution of Information and Communication Technology to national development.Role Summary
The Company Secretary will act as a critical advisor to the Board and Chairman, ensuring that corporate governance frameworks are not only compliant but strategically aligned with the Group’s investment ambitions and regulatory obligations.
Key Responsibilities
Serve as principal advisor to the Board on governance, fiduciary duties, and regulatory compliance
Coordinate Board and Committee meetings, including preparation of agendas, board packs, and minutes
Ensure compliance with statutory and regulatory requirements across all business units
Maintain corporate records, statutory registers, and filings
Guide corporate structuring, investments, and capital market transactions
Liaise with regulators, including the Nigerian Exchange Group (NGX) and other relevant authorities
Support M&A activities, due diligence processes, and investor relations engagements
Monitor changes in legislation and advise on implications for the business
Drive corporate governance best practices across subsidiaries
Requirements
Minimum of 10–15 years’ experience in Company Secretarial, Legal
Strong knowledge of capital markets, corporate finance, and investment structures
Deep understanding of Board dynamics, governance frameworks, and regulatory environments
Proven experience engaging with regulatory bodies and listed or pre-listed companies
Professional qualification (ICSA/CGCS or equivalent) and Law degree preferred
Exceptional discretion, judgment, and executive presence
